What happens if the other player has reached his/hers max lots allready? The transfer is just cancelled like you do a trade and the other persons inventory is full?

Get a weapon and general item crafting tool (not the generic one). Walk up to a weapon and general item crafting station (found in most cities and in the High Tech Field Base) and craft. Near the end, you will get an option to Experiment, Create Prototype, or Create Schematic. Choose what is appropriate for what you want to do.

I think the players have to go to the guild terminal and elect to support another player as leader of the guild.

What DarthMenos said or you can disband and then reform the guild. The vote takes place everyfull 7 days from the day it was formed. So if you formed it on a Monday at 12:00 AM EST, then the check will be every week on that day at that time. You also need the majority of the members to set their allegiance to you or whomever you wish to be your new leader.
If you disband and then reform, the name will not be available for 7 full days I do believe. Also to disband you have to be the leader or have the leader set this permission to you.
Your last option is to form a new guild lacking the cooperation of the former leader or the majority of members that wish a new leader.

ok, i am trying to drop the hall with another character to use his lots for it, then transfer the structure to my main character so i wont have to spend my lots. also, how do you disband the guild? where do you go to do it, or what command to you put in?

If all you are trying to do is transfer the owner of the guild hall, then there is no need to change the guild leader. Any guild member can place a guild hall and you can have more than one guild hall, so you should just be able to transfer the ownership of the guild hall.
I've never tried this though, so don't blame me if it all goes the way of the pear. Although I believe the guild will remain even if there is no guild hall. I suggest you read the stickied FAQs at the top of the Player Association forum.
