place a cityhall down and many homes are close do I become mayor and do they pay taxes?

If you drop a hall then yes, all houses in the area will become part of your city...AFTER the player enters the house. Then yes, they will be a part of the city and will start paying taxes.
However, if you plan to start a city where there are already houses, then beware: most people will not like a city being started where they live. The least you can do is communicate with these people beforehand and make sure they are all fine with it. If nobody wants it, then all you are going to do is create enemies. If someone is really opposed to you making a city, then you should either pay them off or help them move.

I'm not sure if just dropping a City Hall near a bunch of houses actually does anything.
I think, the owner(s) of the house(s) would have to "Declare Residency".
A player can place a house anywhere - without having to be in a player city. It certainly wouldn't be right for anybody to just drop a city hall wherever they wanted and say "Ha, you're in my city now". Mind you, that's no way to gain popularity either.
Now, to place a City Hall, you will need Novice Politician. You will also need to get 10 citizens withing 24 hours or you will lose your City Hall. One who's prepared, will find the 10 cits beforehand (before laying down a City Hall) and already have a location in mind to build a city.
