Yep, you will lose it.

Rememebr, your XP cap is Twice the XP requirement of your current highest skill. So a 200k skill gives you a cap of 400k. Drop the skills and it will rework out your cap, losing you XP as it goes.

I drop Imperial Pilot? atm I'm 3/3/2/2 with Imp pilot (I qualify for 3/3/3/3) and I have a cap of 400k XP. IF I dropped Imperial Pilot for Privateer or Alliance pilot, will I lose all my precious XP?

I would expect the answer is yes. Once you dropped all the skills and learned the first box in Privateer, it would calculate your new cap and delete all the excess xp. This is how it works for all skills now. In fact if you picked up Privateer and took off into space, after your first kill where you are assigned xp your new cap would be calculated and xp loss occur.
