But apparently since the Devs don't CARE about this, pick up Novice Merchant, drop an NPC Vendor. Give up Merchant and you'll keep the NPC.

I have not had the described problem, but a friend of mine did when trying to place the terminal vendor in a merchant tent in our city. She tried numerous times and it would not initialize. I suggested she try placing it in the middle of the tent to see if it was merely a placement issue. It worked. She destroyed it, created another and placed in the original location and, once again, it would not initialize. At this point she was about to give up but just for yucks she tried placing it in our second merchant tent. It worked first time.
What does this all mean? Who knows. A bug? Certainly. The merchant tents in our city are practically side by side, and therefore about the same distance from city hall. She tried placing the vendor in the same area in both tents. She had admin rights to both tents but not to city hall. One worked the other didn't. Try choosing a different room in your house as a test.
The bug that got me in vendor placement was that mine became invisible. The NPC vendor still counted against my maximum, simply nobody could see it or interact with it. The rogue vendor appeared again a while later (didn't watch the clock so not sure how much later). Again this was in a merchant tent so unsure whether the merchant tent is buggy or vendor placement (more probable). After reappearing it acted 100% stable and no further problems to date.

What type of vendors are you using? terminal? droid? npc?
Obviously, if the vendor won't initialize, it's terminal =)
